Terms of Service

1. Purpose and acceptance

These Terms of Service govern the use of NEKSEER, a dealer management system (DMS) for used-vehicle dealerships, operated by [full name pending] (ID [ID pending]), reachable at soporte@nekseer.com.

By creating an account, joining the BETA program, or otherwise using NEKSEER, you accept these Terms in full. If you are accepting on behalf of a business, you confirm you have the authority to bind it.

2. Who NEKSEER is for

NEKSEER is a business-to-business (B2B) service offered exclusively to professionals and businesses operating in the used-vehicle sales sector — dealerships, workshops, and similar. It is not offered to consumers, and it is not intended for personal, non-professional use.

You must be at least 18 years old and have the legal capacity to enter into a binding contract on behalf of the business you represent.

3. Your account

You are responsible for the accuracy of the information you provide when creating your account and your dealership's profile, and for keeping your credentials confidential. Notify us immediately at soporte@nekseer.com if you suspect unauthorized access to your account.

You are responsible for the actions of every team member you invite to your account, and for managing their access and permissions from your own admin panel.

4. BETA program: one free month of the Business plan, no card required

While we are onboarding our first dealerships, an account on the Free plan may start a BETA program once: full access to the Business plan for 30 calendar days, with no credit card required to start.

When the 30 days end, if you have not linked a payment method, your account automatically moves to the Free plan — a complete, real product on its own (same tools, lower limits), not a demo. This happens without any action on your part and at no cost. Because we never collect a card during the trial, you will never be charged automatically when it ends.

Anything you entered above the Free plan's limits (extra vehicles, storage, or team seats) is not deleted right away: it is blocked, kept exactly as it was, and becomes fully accessible again the moment you subscribe to a paid plan. If you have not subscribed to a paid plan within 3 months of returning to Free, that blocked content is permanently deleted and cannot be recovered.

If you want to keep the Business plan, you can subscribe at any time from your billing panel by adding a payment method, or by buying 6 or 12 months upfront — the fee will be the public rate in effect at that time (see §5).

The BETA program can only be used once per account. We may end it for new sign-ups at any time, without affecting accounts already enjoying their trial month.

5. Plans, pricing and billing

Prices are public and displayed on nekseer.com. Paid subscriptions are billed monthly through Stripe; NEKSEER never stores or has access to your card details.

Additional capacity beyond your plan's limits ("extras": extra vehicles, extra storage, extra team seats, unlimited emails, one-time NEKIA credit or email packs) is governed by its own terms, available at nekseer.com/legal/extras, which form part of this agreement by reference.

You can change or cancel a paid subscription at any time from your billing panel (Stripe Customer Portal). Cancelling a paid plan downgrades your account to the Free plan at the end of the current billing period, following the same rules as §4.

6. BETA phase of the service: no guaranteed availability or continuity

NEKSEER is currently in a BETA phase while we onboard our first dealerships. During this phase, features, limits, pricing, and the design of our plans may change without the advance notice we will provide once the service exits BETA.

We do not guarantee a minimum uptime (SLA) during this phase. We will make reasonable efforts to keep the service operational and to give advance notice of scheduled maintenance whenever possible.

This does not affect our security and data-protection obligations described in our Privacy Policy, which apply from day one regardless of whether the service is in BETA.

7. Acceptable use

You agree not to: use NEKSEER for any unlawful purpose; attempt to access another dealership's data or account without authorization; reverse engineer, decompile, or attempt to extract the source code of the platform; resell or sublicense access to NEKSEER without our written consent; upload malicious content or attempt to disrupt the service's operation; or abuse AI features (NEKIA, AI-assisted drafting) in ways that circumvent the usage limits already enforced by the platform.

We may suspend or terminate access to accounts that breach this section, after reasonable notice where the situation allows it.

8. Your data, and your customers' data

How we handle personal data — yours and your own customers' — is described in full in our Privacy Policy (nekseer.com/privacy), which forms part of this agreement.

In short: for data about your dealership's own customers that you enter into NEKSEER (leads, sales files, documentation), you are the data controller and NEKSEER acts as your processor under Art. 28 GDPR, handling that data strictly under your instructions and only to provide you the service.

You retain ownership of all data you and your team enter into the platform. If you cancel your account, you can export your data before closure; afterwards, it is retained only for the periods described in our Privacy Policy.

9. Intellectual property

NEKSEER, its software, design, trademarks, and the NEKIA brand are the property of the party identified in §1 (or its successors) and are protected by intellectual property law. Nothing in these Terms grants you any ownership right over the platform — only a limited, non-exclusive, non-transferable right to use it while your account is active.

You retain all rights to the content and data you enter into the platform (vehicle listings, photos, documents, customer data). By using NEKSEER, you grant us only the limited license needed to host, process, and display that content in order to provide you the service.

10. Limitation of liability

NEKSEER is provided "as is" and, particularly during the BETA phase described in §6, without warranty of uninterrupted or error-free operation.

To the maximum extent permitted by law, our liability for any claim related to the service is limited to the amount you paid us in the 12 months prior to the claim (or, during a free BETA trial, to zero), and we exclude liability for indirect, incidental, or consequential damages, including loss of profit or loss of business opportunity.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, or death or personal injury caused by our negligence.

11. Term, cancellation and suspension

These Terms remain in effect for as long as you hold an account with us. You may cancel your account at any time from your admin panel.

We may suspend or terminate your account for material breach of these Terms, for non-payment of a contracted plan (following the grace periods described at nekseer.com/legal/extras), or if required by law — giving reasonable notice whenever the circumstances allow it.

12. Changes to these Terms

We may update these Terms to reflect changes in the service, our providers, or the law. We will highlight material changes, and the date at the top of this page always reflects the last update. Continued use of NEKSEER after a change takes effect means you accept the updated Terms.

13. Governing law and jurisdiction

These Terms are governed by Spanish law. Any dispute arising from them will be submitted to the Spanish courts with competent jurisdiction under applicable law.
